Opportunity: Paralegal (Real Estate and Transactions)

The Real Estate and Transactions Paralegal will be at the heart of our growth, supporting acquisitions, management agreement negotiations, and critical transactional matters. This role operates with a hybrid schedule and is based at HHM’s Philadelphia Corporate Office.

We are looking for a highly organized professional to help us execute hotel management and real estate transactions. In this role, you will be a key partner to both our Associate General Counsel and Legal Operations Manager, ensuring our deals move from letter of intent to closing with precision and speed.

Your Focus

  • Deal Management: Drive the full lifecycle of hotel management agreements (HMAs), acquisitions, and sales. You will own the closing checklists and ensure every party meets their deadlines.
  • Drafting & Review: Assist with drafting ancillary legal documents such as organizational documents, termination agreements, and other agreements based on existing forms. You will also review material agreements to create concise executive summaries.
  • Closing Mechanics: Lead the closing process, including coordinating signature pages, managing the delivery of closing documents, and coordinating alignment and execution by internal and external stakeholders.
  • Agreement Trackers: Maintain trackers of all material agreements to provide real-time status updates to leadership.
  • Management Transitions: Assist the Legal Operations Manager with coordinating all legal-related matters associated with transitioning management of hotels, including updating checklists, reviewing agreements, and coordinating with stakeholders.
  • Entity Management: Assist the Legal Operations Manager in managing the governance of our various subsidiaries, including filings, foreign qualifications, and maintaining digital minute books.

Your Background & Skills

  • Minimum of 3+ years of experience specializing in real estate transactions or corporate law, with a strong preference for candidates from a law firm or in-house legal department environment.
  • Demonstrated "self-starter" mentality with the ability to anticipate deal requirements, prepare comprehensive checklists, and mitigate potential risks before they escalate.
  • Proven ability to manage a robust pipeline of high-stakes transactions simultaneously, maintaining rigorous attention to detail while navigating a fast-paced environment.
  • Full lifecycle ownership of assigned projects, ensuring absolute accuracy in documentation and the reliability of all tracking systems and deal checklists.
  • Independently communicate with internal and external parties to complete required items in a timely manner.
  • Current Notary Public commission preferred, or a commitment to obtaining certification upon hire.
